Terms of Service
Please read these Terms carefully before using EcoChain. They explain what you can expect from us, what we expect from you, and how disputes are handled.
1. Acceptance of These Terms
These Terms of Service ("Terms") govern access to and use of EcoChain (the "Service"), a sustainability assessment and reporting platform operated by Impact Link Asia ("Impact Link Asia", "EcoChain", "we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms on behalf of yourself and, if applicable, the company you represent (your "Company").
If you do not agree to these Terms, do not create an account or use the Service.
2. Description of the Service
EcoChain helps small and medium-sized enterprises (SMEs) in Vietnam and Southeast Asia measure, document, and report their sustainability (ESG) performance. The Service includes, among other features:
- a Company Profile you complete and keep up to date;
- guided sustainability assessments scored against recognized frameworks and Vietnam's Green Criteria;
- an AI-assisted Engineering Report generated from your submitted data;
- a dashboard, notifications, and supporting document storage.
We may add, change, or discontinue features of the Service at any time. We will make reasonable efforts to notify registered users of material changes that affect their ability to use the Service.
3. Accounts, Eligibility & Company Access
You must provide accurate information when registering and keep your login credentials confidential. You are responsible for all activity that occurs under your account.
Accounts are created on behalf of a Company. A Company may have multiple users with different roles (for example, an owner and additional members); the Company is responsible for managing who has access on its behalf.
Sign-in may use a password or a one-time passcode (OTP) sent to your registered email address. You must not share OTP codes with anyone else.
EcoChain staff may, for support and troubleshooting purposes, access an authorized "view as" mode of a Company's account. Every such access is logged in an internal audit trail. See our Privacy Policy for details.
4. Accuracy of Company & Assessment Data
The value of your Company Profile, assessment results, and any generated report depends on the accuracy of what you submit — including registration/tax identifiers, industry classification, employee and revenue ranges, contact details, and any supporting evidence you upload. You are solely responsible for the accuracy, completeness, and lawfulness of the information and files you submit.
EcoChain does not independently verify every data point you submit unless a specific verification feature explicitly says otherwise.
5. AI-Generated Content (Engineering Report)
The Engineering Report and any other AI-assisted output are generated automatically from the data you provide, using third-party AI service providers. AI-generated content may be incomplete, contain errors, or fail to capture context a qualified human reviewer would catch.
AI-generated output is provided for informational purposes only and does not constitute professional, legal, financial, engineering, or audit advice, and is not a substitute for review by a qualified professional. You are responsible for reviewing and validating any AI-generated content before relying on it or sharing it with a third party (such as an investor, lender, or regulator).
6. Acceptable Use
When using the Service, you agree not to:
- submit information you know to be false or materially misleading;
- attempt to access another Company's account or data without authorization;
- probe, scan, or attempt to bypass the security or rate limits of the Service;
- upload malicious files or content that infringes a third party's rights;
- use the Service to build a competing product, or scrape it at scale without our written permission.
We may suspend or terminate accounts that violate this section.
7. Fees & Subscription
Some features of the Service may be offered free of charge and others on a paid subscription basis. Where paid plans apply, pricing, billing frequency, and cancellation terms will be presented to you before you subscribe and are incorporated into these Terms by reference.
8. Intellectual Property
The Service — including its software, design, scoring methodology, and branding — is owned by Impact Link Asia or its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.
As between you and us, your Company retains ownership of the data and files you submit ("Your Content"). You grant us a limited license to host, process, and use Your Content solely to provide and improve the Service, including generating your assessment scores and reports.
9. Third-Party Services
We rely on third-party providers to operate the Service, including cloud file storage for uploaded documents, transactional email delivery for account and OTP messages, and AI service providers for report generation. These providers process data solely on our behalf and under contractual confidentiality obligations — see our Privacy Policy for more detail.
10. Confidentiality
We treat Company Profile data, assessment responses, and uploaded documents as confidential business information and will not disclose them to other Companies or unrelated third parties, except as described in our Privacy Policy (for example, to our processors, or where required by law).
11. Disclaimers & Limitation of Liability
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose or that scoring results, reports, or recommendations will meet any specific regulatory, investor, or certification requirement.
To the maximum extent permitted by law, Impact Link Asia will not be liable for indirect, incidental, or consequential damages arising from your use of the Service, or for decisions made in reliance on assessment scores or AI-generated reports.
12. Suspension & Termination
You may stop using the Service and request account closure at any time by contacting us. We may suspend or terminate your access if you materially breach these Terms, or as needed to protect the Service or other users.
Sections of these Terms that by their nature should survive termination (including intellectual property, confidentiality, and limitation of liability) will survive.
13. Governing Law
These Terms are governed by the laws of Vietnam, without regard to conflict-of-laws principles, unless a different governing law is required by the mandatory law of your jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify registered users (for example, by email or an in-app notice) before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
